1. Agreement to These Terms
These Terms of Use ("Terms") are a legal agreement between you and United Kitchens LLC and its parents, subsidiaries, and affiliated entities, doing business as Nashville Coop ("Nashville Coop," "we," "our," or "us"). They govern your use of the Nashville Coop website (nashvillecoop.com), mobile application, online ordering, and loyalty programs (collectively, the "Services").
By accessing or using the Services, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the Services.
We may update these Terms from time to time. Material changes will be posted in the app or on our website with an updated date. Your continued use of the Services after an update means you accept the revised Terms.
2. Eligibility
You must be able to form a binding contract to place an order. If you are under 18, you may use the Services only with the involvement and consent of a parent or guardian who agrees to be responsible for your activity. By using the Services, you represent that you meet these requirements and that the information you provide is accurate.
3. Your Account
Some features require you to create an account. You are responsible for the information you provide, for keeping your password confidential, and for all activity under your account. We verify account access using one-time passcodes sent by text message. Notify us promptly if you believe your account has been used without your permission.
4. Orders
When you place an order through the Services, you are making an offer to purchase the items selected at the prices shown. Prices, menu items, and availability are set by the location fulfilling your order and may change.
You may update or abandon your order at any time before selecting "Pay for Pickup" or "Pay for Delivery." Once an order is placed and confirmed, we begin preparing it, and we cannot accept cancellations of any order once confirmed.
All orders are subject to product availability. If an item is unavailable after you order, we will notify you and discuss your options.
5. Pricing and Payment
Prices are listed in U.S. dollars and may not include applicable taxes, fees, delivery charges, or tips, which are shown before you confirm your order.
Payments are processed by Stripe, our third-party payment processor. By submitting an order, you authorize us and Stripe to charge your selected payment method for the total amount, including taxes and any applicable fees. We do not store your full card details. Your use of Stripe is also subject to Stripe's terms and privacy policy.
6. Pricing Errors
We try to keep pricing accurate, but errors can occur. If an item's price is obviously incorrect due to a typographical or system error, we are not obligated to honor that price and may cancel the order and refund any amount charged, even after the order is confirmed. We will notify you if this happens.
7. Tips and Gratuity
If the Services allow you to add a tip, tips are voluntary and are intended for restaurant staff or delivery personnel. The full tip amount you select is charged with your order. If an order is refunded in full, any associated tip is refunded as well, except for any non-refundable third-party processing fees; for a partial refund, tips are handled at our reasonable discretion.
8. Cancellations, Refunds, and Returns
Order Cancellation: You may update or abandon your order at any time before you select "Pay for Pickup" or "Pay for Delivery." Once an order is placed and confirmed by us, we begin preparing it and cannot accept cancellations.
Refunds and Returns: If you receive an order with missing, wrong, or unsatisfactory items, please contact us. If we are unable to resolve your concern, we may, at our discretion, offer an alternative item, a credit toward a future purchase, or a partial or full refund. Refunds are processed to the original payment method. Refunds may exclude non-refundable third-party payment processing fees, and the time it takes for a refund to appear depends on our payment processor and your bank or card issuer.
9. Chargebacks
If you have a problem with an order, please contact us first so we can make it right. Filing a chargeback or payment dispute without first contacting us, or filing one in bad faith, may result in suspension of your account. We reserve the right to dispute chargebacks we believe are fraudulent or invalid and to recover amounts owed.
10. Delivery
Delivery Area: Items are available for delivery only to addresses within a fixed radius of the fulfilling location. You can enter your address to confirm you are within the delivery zone.
Third-Party Delivery: Delivery is performed by independent third-party delivery providers, including DoorDash and Uber Eats, dispatched to complete your order. To enable delivery, we share the information necessary to fulfill it, such as your name, delivery address, phone number, and order details, with the delivery provider. The provider's driver is not our employee, and the provider's own terms may also apply to the delivery.
Delivery Time and Date: An estimated delivery time is provided when you place your order. We and our delivery providers make reasonable efforts to fulfill orders within the estimate, except in exceptional circumstances. The delivery date is selected at the time you order.
Delivery Fees and Instructions: Additional delivery fees may apply and are shown at checkout. You may provide special delivery instructions at checkout.
11. Loyalty and Rewards
We may offer loyalty or rewards programs. Participation is voluntary and governed by the program's terms. Points and rewards have no cash value, are not transferable, and may be modified or discontinued. We may suspend or revoke rewards obtained through fraud or in violation of these Terms.
12. Promotions, Discounts, and Gift Cards
From time to time we may offer promotions, discount codes, or gift cards. Unless stated otherwise, these are subject to additional terms, cannot be combined, have no cash value, and may be limited, modified, or canceled at our discretion. We may refuse or cancel a promotion or order where we reasonably believe a code or offer has been obtained or used fraudulently or in violation of its terms. Gift cards, if offered, are governed by the terms provided with them and are not redeemable for cash except where required by law.
13. Text Messages
We use text messages for account, security, and order purposes only, such as one-time passcodes and order updates. We do not send marketing or promotional text messages. By providing your mobile number and using the Services, you consent to receive these messages. Message frequency varies, and message and data rates may apply. Reply STOP to opt out and HELP for help. 14. Food, Allergies, and Safety
You are responsible for knowing your own food allergies and dietary restrictions and for reviewing item descriptions before ordering. While we make reasonable efforts to provide accurate menu and ingredient information, we cannot guarantee that any item is free from a specific allergen, and items are prepared in kitchens that handle common allergens. If you have a serious allergy, contact the location directly before ordering.
15. Acceptable Use
You agree not to: use the Services for any unlawful purpose; place fraudulent or unauthorized orders; interfere with or disrupt the Services or their security; attempt to access another user's account; copy, modify, reverse engineer, or attempt to extract the source code of the Services; or use any automated means to access the Services without our permission.
16. Intellectual Property
The Nashville Coop name, logos, menu content, branding, and visual designs are owned by Nashville Coop. The software, platform, and underlying technology that power the Services are owned by Nashville Coop and/or its technology providers and are protected by intellectual property laws.
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for your own personal, non-commercial use, subject to these Terms. We reserve all rights not expressly granted to you. You may not use our names, logos, or branding without our prior written permission.
17. User Content
If you submit reviews, feedback, photos, or other content through the Services, you retain ownership of it, but you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Services. You are responsible for the content you submit and represent that you have the right to submit it and that it is not unlawful or infringing.
18. Third-Party Services
The Services rely on or link to third parties, including our payment processor (Stripe) and our delivery providers (DoorDash and Uber Eats). We are not responsible for the acts, omissions, content, or policies of third parties. Your use of a third-party service may be subject to its own terms and privacy policy.
19. Disclaimers
The Services and all items offered through them are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. You use the Services at your own risk.
20. Limitation of Liability
To the fullest extent permitted by law, Nashville Coop and its affiliates, and their owners, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or related to your use of the Services or any order. Our total liability for any claim arising out of or related to the Services or an order is limited to the greater of the amount you paid for the order giving rise to the claim or one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
21. Indemnification
You agree to indemnify and hold harmless Nashville Coop and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
22. Electronic Communications and Notices
By using the Services, you consent to receive communications, agreements, disclosures, and notices from us electronically, including by email, text message, or in-app notice. You agree that electronic communications satisfy any legal requirement that a communication be in writing.
23. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules.
Please contact us first so we can try to resolve any concern informally. If we cannot, you agree that any dispute arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration, rather than in court, except that either party may bring a claim in small claims court. You and Nashville Coop waive the right to a jury trial and agree that claims may be brought only in an individual capacity and not as part of any class or representative proceeding. If this class-action waiver is found unenforceable, the remainder of this section will not apply, and disputes will be resolved in the state or federal courts located in Minnesota.
24. App Store Additional Terms
If you download our app from the Apple App Store or Google Play, the following also applies. These Terms are between you and Nashville Coop only, not with Apple or Google. Apple and Google are not responsible for the app or its content, maintenance, support, or any claims relating to it. You agree to comply with the applicable app store's terms of service. You represent that you are not located in a country subject to a U.S. embargo or on a U.S. prohibited-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
25. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
26. General
These Terms, together with the Privacy Policy, are the entire agreement between you and Nashville Coop regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
